Terms of Service

1. Who these terms are between

These terms govern your use of Orbinex AI (the "Service"), operated by Softvision Info Solutions Corp., a company registered in Kentucky, USA with its registered office at 828 E Market St, Louisville KY 40206 ("Softvision", "we", "us").

By creating an account, starting a trial or using the Service you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.

2. What the Service is

Orbinex AI is software you use over the internet. It lets you configure AI assistants that hold conversations with your customers on your website and connected messaging channels, answer from material you supply, and take actions you have explicitly enabled against systems you connect.

We provide the Service on a subscription basis. We do not provide advice, and the Service is not a substitute for professional judgement in regulated matters.

3. Your account

  • You are responsible for everything done under your account, including by your team members and by assistants you configure.
  • Keep credentials secure and tell us promptly at support@softvisioncorp.com if you believe an account has been compromised.
  • You must be at least 18 and able to enter a binding contract.
  • You may not use the Service if we have previously terminated your account for breach.

4. Your content, and who owns what

You keep ownership of everything you put into the Service: your documents, website material, conversation transcripts, contact records and configuration ("Customer Content"). You grant us a limited licence to host, process and transmit Customer Content solely to operate the Service for you, and to keep backups.

We keep ownership of the Service itself, including the software, the interfaces and any improvements. Nothing here transfers our intellectual property to you, or yours to us.

You are responsible for having the right to supply the Customer Content you upload, and for the lawfulness of the material your assistants are trained to reference.

5. What assistants may do

Assistants act only within the permissions you configure. Actions against systems you connect are performed with the permissions of the account you connect them under, and your own systems remain responsible for authorising each request. You are responsible for which actions you enable and for the consequences of actions your assistants perform within them.

AI-generated output can be wrong. You should review output before relying on it for anything consequential, and you remain responsible for what your assistants say to your customers.

6. Acceptable use

You may not use the Service to:

  • break the law, or help anyone else to;
  • send unsolicited bulk messages, or contact people who have asked not to be contacted;
  • impersonate another person or business, or present an assistant as a human when asked directly;
  • upload malicious code, or attempt to access another customer's data;
  • probe, scan or load-test the Service without our written permission;
  • resell or white-label the Service without a written agreement with us;
  • process special categories of personal data (health, biometric, financial account credentials and similar) without agreeing appropriate terms with us first.

You must also comply with the rules of any third-party channel you connect, including Meta's platform policies for Instagram and Messenger.

7. Fees and billing

  • Subscription fees are as published on our pricing page at the time you subscribe, in US dollars, exclusive of tax.
  • Monthly plans are billed in advance each month; annual plans in advance each year. Subscriptions renew automatically until cancelled.
  • Usage above your plan's included conversation allowance is charged at the published rate and billed in arrears on your next invoice.
  • Payments are processed by Stripe. We do not store your card details.
  • If payment fails we may retry, and may suspend the Service after notifying you. Suspension does not cancel amounts already due.
  • We may change prices with at least 30 days' notice; changes take effect at your next renewal, and you may cancel before then.

Refunds and cancellation are covered in our refund policy, which forms part of these terms.

8. Trials

Trials are provided as-is, for the period and usage allowance published at the time. A trial stops when its allowance is exhausted rather than converting silently into a paid plan. We may end or change trial terms at any time.

9. Third-party services

The Service depends on third parties, including AI model providers, messaging platforms and payment processing. Those services are outside our control, and an outage or change at a provider may affect parts of the Service. Our privacy policy lists the providers who process data on our behalf.

10. Availability and support

We aim to keep the Service available and to fix faults promptly, but we do not offer a contractual uptime guarantee on our standard plans. Planned maintenance is announced where practical. Enterprise agreements may include specific service levels.

11. Confidentiality

Each of us may learn non-public information about the other. Each will use it only to perform under these terms, protect it with reasonable care, and not disclose it except to people who need it and are bound by similar obligations, or where required by law.

12. Suspension and termination

  • You may cancel at any time from your account or by emailing support; cancellation takes effect at the end of your current billing period.
  • We may suspend or terminate immediately for breach of these terms, non-payment, or use that risks harm to the Service or to other customers.
  • We may discontinue the Service on 60 days' notice, refunding any prepaid fees for the period after discontinuation.
  • On termination your right to use the Service ends. You may export your Customer Content for 30 days, after which we may delete it.

13. Warranties and disclaimers

We provide the Service with reasonable skill and care. Beyond that, and to the extent the law allows, the Service is provided "as is" without warranties of any kind, including fitness for a particular purpose, and we do not warrant that AI-generated output will be accurate, complete or suitable for your purposes.

14. Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or data. Our total liability arising out of or relating to these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

15. Indemnity

You will indemnify us against claims arising from your Customer Content, your use of the Service in breach of these terms, or the actions your assistants take within permissions you enabled.

16. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email or in the product. Continuing to use the Service after a change takes effect means you accept it.

17. Governing law

These terms are governed by the laws of Kentucky, USA, and the courts of Kentucky have exclusive jurisdiction, without regard to conflict-of-law rules.
